1. Who we are
“Vertex Labs”, “we”, “us”, and “our” refer to the studio operating at vertexserviceslabs.store. “You” and “client” mean the person or organization purchasing or inquiring about our services.
2. Services
We provide digital design, branding, website development, video game development, UX/UI, and related consulting. Exact deliverables, timelines, and fees are defined in a written proposal, quotation, invoice, or statement of work (SOW). Website package prices shown in PKR are starting estimates and may change based on scope.
3. Agreements & scope
- Work begins after written acceptance of a quote/SOW and receipt of any required deposit.
- Changes outside the agreed scope may require a revised quote and adjusted timeline.
- Revision rounds listed in a package apply to that package; unused rounds do not roll over indefinitely unless stated.
4. Pricing & payment (PKR)
Prices are typically quoted in Pakistani Rupees (PKR). Unless otherwise agreed in writing:
- A deposit (often 40–50%) is due to schedule the project.
- The balance is due before final files / launch credentials are released.
- Invoices are payable by the due date stated on the invoice.
- Late payments may pause work and may incur reasonable late fees if previously disclosed.
- Third-party costs (domains, hosting upgrades, stock assets, ads, plugins) are billed separately unless included.
5. Client responsibilities
You agree to provide timely feedback, brand assets, copy, and access needed to complete the work. Delays in feedback may extend delivery dates. You confirm that materials you supply (logos, photos, text) do not infringe third-party rights.
6. Intellectual property
- Until full payment is received, Vertex Labs retains ownership of all work product.
- After full payment, you receive rights to use the final approved deliverables for your business, as described in the SOW.
- We may retain the right to display non-confidential work in our portfolio and marketing, unless you request otherwise in writing before kickoff.
- Open-source libraries, fonts, and third-party tools remain under their own licenses.
7. Hosting & third parties
If your site is hosted on Hostinger or another provider, that provider’s terms also apply. We are not responsible for outages, account suspensions, or policy changes by third-party platforms, though we will help you diagnose issues within a reasonable support window when engaged to do so.
8. Warranties & limitations
We deliver professional work with reasonable care and skill. Except as required by law, services are provided “as is” without warranties of uninterrupted operation or specific business results (e.g. revenue or rankings). To the fullest extent permitted by law, our total liability for any claim related to a project is limited to the fees you paid us for that project in the three (3) months preceding the claim.
9. Cancellation
- Either party may cancel in writing. Work completed to date remains billable.
- Deposits are generally non-refundable once production has started, except where required by applicable law or expressly agreed.
- Unused prepaid retainer hours may expire according to the retainer terms.
10. Confidentiality
Both parties will keep non-public business information confidential and use it only to perform the engagement, except where disclosure is required by law or already public through no fault of the receiving party.
11. Acceptable use of this website
You may browse vertexserviceslabs.store for lawful purposes. You must not attempt to disrupt the site, scrape it aggressively, introduce malware, or misuse contact forms for spam.
12. Governing law
These terms are governed by the laws of Pakistan. Courts in Lahore, Pakistan shall have exclusive jurisdiction, unless mandatory consumer protections in your location require otherwise.
13. Changes
We may update these Terms of Service from time to time. The “Last updated” date at the top will change when we do. Continued use of the website after updates constitutes acceptance of the revised terms for site use. Active client projects remain governed by the SOW in effect when that project was accepted, unless both parties agree otherwise.
